1. Prohibited Use
The Client shall not, under any circumstances, directly or indirectly sell, resell, lease, loan, gift, transfer, or otherwise distribute any Products to individuals, entities, governments, or organizations engaged in:
- Military operations or support activities；
- Defense contracting；
- Development or production of weapons, including conventional, biological, chemical, or nuclear weapons；
- Training, recruiting, or logistical operations for armed groups or forces
2. Geographic Prohibitions
The Client shall not, under any circumstances, directly or indirectly sell, resell, lease, loan, gift, transfer, or otherwise distribute any Products to:
- Any war zone or active conflict area;
- Areas subject to international sanctions or embargoes;
- Any territory where the use of such Products is likely to support military, paramilitary, or combat-related purposes.
3. Compliance with Laws
The Client agrees that all purchases and use of Products shall comply with:

- All applicable local, national, and international laws and regulations in both the territory of sale and the territory of use;
- Any export control laws, including but not limited to the laws of the United States, the European Union, or the United Nations;
- Laws and regulations related to end-use declarations and restricted party screening.
The Client further affirms that the Products will not be exported, sold, or otherwise transferred to any country, organization, or individual where such action is prohibited by applicable laws or regulations.
4. Breach and Indemnification
Any breach of these terms by the Client shall be considered a material breach of contract. In the event of such a breach:
- The Seller reserves the right to cancel or suspend any pending orders or deliveries;
- The Client agrees to indemnify, defend, and hold harmlessthe Seller from any and all claims, damages, penalties, losses, or liabilities arising directly or indirectly from such breach;
- The Seller may pursue legal remedies, including injunctive relief, damages, and termination of business relationships.
5. Due Diligence and Assurance
The Client must conduct reasonable due diligence on any party to whom the Products may be sold, transferred, or supplied, to ensure they do not fall within any of the categories outlined in Sections 1 or 2 above. The Client shall provide written assurance of such due diligence upon request by the Seller.
6. Right of Refusal and Termination
The Seller retains the right, at its sole discretion, to refuse or terminate any sale if it suspects or determines that the Products may be used in a prohibited manner as defined above.
7. Acknowledgment
By proceeding with a purchase, the Client confirms their understanding and acceptance of these restrictions, and certifies that the Products will not be used or distributed in violation of this policy.
8. Scope of application of the statement
Both parties confirm that after signing this statement, the above terms will automatically apply to all subsequent orders and transactions between the Client and the Seller.
